1. User Agreement
Welcome to the Redi User Agreement (Agreement).
Www.Redi.com.au is owned and operated by Redi Group Pty Limited (ACN 129 592 829) (“Redi”) under the domain name “www.redi.com.au” (“the Redi Website”).
This Agreement sets out the terms and conditions that govern your use of the Redi Website and of the services provided by Redi generally.
This Agreement is in addition to the Redi Privacy Policy relating to the collection, use, handling and disclosure of your personal information, and should be read in conjunction with such Privacy Policy.
By accepting this Agreement, you are also agreeing to the terms of the Redi Privacy Policy. It is strongly recommended that you carefully read these terms and conditions and the Redi Privacy Policy in their entirety before to entering into this Agreement.
If you do not agree with these terms and conditions or the Redi Privacy Policy, then you are not authorised to use the Redi Website or register as a member of Redi.
Your use of the Redi Website constitutes your agreement to these terms and conditions, the Redi Privacy Policy and any amendments thereto.
We may amend these terms and conditions at any time in our absolute discretion with or without further notice to you and without giving you any explanation or justification for such change. You should review these terms and conditions carefully and check periodically for any changes.
Any questions in relation to these terms and conditions and/or the Redi Privacy Policy should be directed to Redi as follows:
If any part of this Agreement is found to be void, unlawful, or unenforceable then that part will be deemed to be severed from the balance of this Agreement. Any severed part of this Agreement will not affect the validity and enforceability of any remaining provisions.
2. Membership Eligibility
You must be eighteen (18) years of age or older to use the Redi Website or register as a member of Redi.
By using or viewing the Redi Website you represent and warrant to Redi that:
(a)you are eighteen (18) years or older; and
(b)you have the right, authority, and capacity to enter into this Agreement and to abide by the terms and conditions of this Agreement.
Without limiting the foregoing, our services are not available to persons under the age of 18 years of age or to temporarily or indefinitely suspended Redi members.
If you are under the age of 18 years, or are temporarily or indefinitely suspended from the use of the Redi Website, then you are not authorised to use the Redi Website.
3. Registration
This Agreement is made to be effective as of the date accepted by the operators of Redi following your execution and submission of this Agreement by clicking the
“Register” checkbox when signing up.
By clicking the “Register” checkbox on the registration form, you acknowledge your acceptance of these terms and conditions of this Agreement and of the Redi Privacy Policy.
By accepting the terms and conditions of this Agreement and completing the registration process, you are hereby:
(a)Agreeing to become registered as a “Registered Member” of Redi;
(b)Representing and warranting to Redi that you have the legal capacity to enter into this Agreement;
(c)Agreeing to be bound by the provisions of the Redi Privacy Policy; and
(d)Agreeing to be bound by the terms and conditions of this Agreement.
4.The Registration Process
Redi.com.au is an online Relationship, Entertainment, Dating & Interactive service.
You will be required to become Registered Member of the Redi Website to obtain the benefit of the services provided by Redi.
To become a Registered Member of Redi and obtain the full benefits and features of membership, you will be required to register your contact details and other personally identifiable information with us and sign in as a Registered Member each time you visit the Redi Website.
If you choose not to provide us with any or all of your personal information, then we may not be able to provide you with an effective service.
Each Registered Member of Redi will be allocated a Profile based on the information provided during the registration process. Each Profile will be stored on the Redi database to accurately identify each Registered Member.
Registered Members may edit the content of information forming part of their Profile at anytime by logging in to the Redi Website and by clicking “edit my Profile Information”.
Once a user has completed the registration form to become a Registered Member, you will be required to acknowledge your acceptance of these terms and conditions and the Redi Privacy Policy.
Once you have acknowledged your acceptance of these terms and conditions and the Redi Privacy Policy, you will be forwarded an email containing a unique password and activation link to complete the registration process.
Redi reserves the right (but not the obligation) to verify any personal information provided by a Registered User during the registration process.
5.Content
You agree that you will not post on the Redi Website or otherwise transmit to any other Redi Member by any other means information that:
is false, inaccurate or misleading in any way;
is unlawful, harmful, threatening, abusive, harassing or advocates the harassment of another person, tortuous, defamatory, vulgar, obscene, libelous, offensive or hateful;
is racially, ethnically or otherwise objectionable or discriminatory;
is invasive of another persons privacy;
promotes illegal activities or conduct that is illegal;
exploits people under the age of eighteen (18) in a sexual or violent manner, or solicits personal information from anyone under 18;
involves cursing, swearing, violence or threats of violence; and
infringes upon any intellectual property rights, including but not limited to, trade marks, service marks or business names (whether registered or unregistered), confidential information and copyright.
You are solely responsible for the content that you provide during the registration process or otherwise transmitted to any other Redi Member by any other means. We do not endorse nor are we responsible for, and accept no liability with respect to, any content transmitted or posted on the Redi Website, or otherwise transmitted to any member of Redi by any other means, by any person.
You acknowledge that authenticating the identity of a Registered Member online is extremely difficult, and that the operators of Redi make no warranty or representation about the authenticity of a Registered Member’s identity or the accuracy of the information provided.
You acknowledge that we cannot control or prohibit the content of information provided by other users during the registration process, appearing on a Registered Members profile or otherwise transmitted to any member of Redi by any other means, by any person. You acknowledge that the content of such information may be prohibited by the terms of this Agreement.
We urge you to be extremely cautious when interacting with other Redi Registered Members. You should be cautious at all times with information you choose to post on the Redi Website or otherwise transmit to any other Redi member by any other means. Any content that choose to post on the Redi Website or otherwise transmit to any other Redi member by any other means, will be considered non-confidential.
Without limiting any other remedies available to the operators of Redi, its employees and agents at law, in equity or pursuant to this Agreement, Redi may, in their sole discretion, temporarily suspend, indefinitely suspend, or terminate your membership of Redi (and any other Redi Registered Member) (and terminate this Agreement) if it considers that the content of information provided by you during the registration process or otherwise transmitted to any other Redi Member by any other means is prohibited by the terms of this Agreement.
Redi shall have no liability whatsoever for any costs, losses or damages of any kind, which you may incur, arising as a consequence either directly or indirectly of temporarily suspending, indefinitely suspending or terminating the membership of a Redi Registered Member as a result of the content of information provided during the registration process or otherwise transmitted to any other Redi Member by any other means is prohibited by the terms of this Agreement.
You will at all times indemnity and keep indemnified Redi and its employees and agents (in this paragraph referred to as “those indemnified”) from and against any loss (including reasonable legal costs and expenses) or liability incurred by any of those indemnified arising from any claim, demand, suit, action or proceeding by any person against any of those indemnified where such loss or liability arose out of, in connection with or in respect of the content of information provided by you during the registration process or otherwise transmitted to any other Redi Member by any other means which is prohibited by the terms of this Agreement.
6.Conduct
You agree to act at all times responsibly and exercise caution, common sense and safety when using the Redi Website.
You agree that you will not:
disclose or share your password to your Redi account with anyone;
register for more than one User account, register for a User account on behalf of an individual other than yourself, or register for a User account on behalf of any group or entity; or
impersonate any person or entity, or falsely state or otherwise misrepresent yourself including but not limited to your identity, age and/or marital status;
upload, post, email or otherwise transmit images of any person other than yourself;
upload, post, email or otherwise transmit material which is obscene or contain any material that, in Redi’s sole and absolute discretion, is in any way inappropriate or unlawful, including, but not limited to obscene, inappropriate or unlawful images, including but not limited to images of nudity (partial nudity or otherwise);
upload, post, email or otherwise transmit material which is unsolicited or unauthorised advertising, promotional materials, “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or any other form of solicitation whatsoever or do anything which would constitute an infringement of the Spam Act 2003 (Cth); or
upload, post, email or otherwise transmit material that contains software viruses, worms, Trojan Horses or any other computer codes, files or programs designed to interrupt, damage, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or program.
Without limiting any other remedies available to Redi, its employees and agents at law, in equity or pursuant to this Agreement, Redi may, in its sole discretion, temporarily suspend, indefinitely suspend, or terminate your membership of the Redi Website (and terminate this Agreement) if it considers that your conduct is in breach of the terms of this Agreement.
Redi shall have no liability whatsoever for any costs, losses or damages of any kind, which you may incur, arising as a consequence either directly or indirectly of temporarily suspending, indefinitely suspending or terminating the membership of a Redi Registered Member as a result of the conduct of a Registered Member.
You will at all times indemnity and keep indemnified Redi, its employees and agents (in this paragraph referred to as “those indemnified”) from and against any loss (including reasonable legal costs and expenses) or liability incurred by any of those indemnified arising from any claim, demand, suit, action or proceeding by any person against any of those indemnified where such loss or liability arose out of, in connection with or in respect of your conduct and any breach of this Agreement.
7. Acknowledgment, Warranties and Representations
By accepting the terms and conditions of this Agreement and completing the registration process, you are hereby acknowledging, warranting and representing to Redi that:
(a)You are at least eighteen (18) years of age;
(b)You have the right, authority, and capacity to enter into this Agreement and to abide by the terms and conditions of this Agreement.
(c)You will not permit any person(s) under the age of eighteen (18) to have access to any of the material contained on the Redi Website;
(d)The information that you post in your profile is at all times true and correct; and
(e)You will abide at all times with the terms of this Agreement.
Redi will make every effort to ensure that the material contained on the Redi Website is free from errors or omissions or is suitable to your intended use. However, Redi gives no warranty, guarantee or representation about the accuracy, reliability, adequacy, timeliness or completeness of any material contained on the Redi Website and/or any Third Party Website.
To the full extent permitted by law, Redi disclaims any and all warranties, express or implied, regarding the accuracy, reliability, adequacy, timeliness or completeness of any material contained on the Redi Website and/or any Third Party Website; and
Redi will not be liable under any circumstances for any loss of profits or any damages of any kind recognised by law (even if it has been advised of the possibility of such loss of profits or damages) which are the consequence of you:
(a)acting, or failing to act, on any information contained on or referred to on the Redi Website and/or any of the Third Party Websites; and
(b)using or acquiring, or you inability to use or acquire, any service or product contained or referred to on the Redi Website and/or any Third Party Website.
Redi does not warrant, guarantee or make any representation that:
(a)the Redi Website, or server that makes the Redi Website available on the World Wide Web are free of software viruses;
(b)the functions contained in any software contained on the Redi Website will operate uninterrupted or are error-free; and
(c)errors and defects in the Redi Website will be corrected.
Redi will not be liable under any circumstances for any loss of profits or any damages of any kind recognised by law (even if it has been advised of the possibility of such loss of profits or damages) which are the consequence of:
(a)errors or omissions in the Redi Website, or any Third Party Website; and
(b)delays to, interruptions of or the cessation of the services provided by Redi or any Third Party Website.
8. Breach
Without limiting any other remedies available to Redi, its employees and agents at law, in equity or pursuant to this Agreement, Redi may, in their sole discretion, temporarily suspend, indefinitely suspend, or terminate your membership of Redi (and terminate this Agreement) if it considers that this action is appropriate having regard to your breach of this Agreement, the interests of other Registered Members and the service provided by Redi.
Redi shall have no liability whatsoever for any costs, losses or damages of any kind, which you may incur, arising as a consequence either directly or indirectly of temporarily suspending, indefinitely suspending or terminating your membership of Redi in accordance with this clause.
9. Indemnity
You will at all times indemnity and keep indemnified Redi and its employees and agents (in this paragraph referred to as “those indemnified”) from and against any loss (including reasonable legal costs and expenses) or liability incurred by any of those indemnified arising from any claim, demand, suit, action or proceeding by any person against any of those indemnified where such loss or liability arose out of, in connection with or in respect of any breach of this Agreement by you.
10. Third Party Sites
The Redi Website will contain links to third party websites (“Third Party Websites”) which are not maintained or controlled by Redi.
Redi provides these links solely for your convenience and the existence of a link to Third Party Websites does not imply any endorsement or approval by Redi of the Third Party Website operator, the Third Party Website or its content.
Redi does not endorse, and accepts no responsibility for, the content or use of any Third Party Websites.
11. Removal of Information
In relation to any material and/or information included on the Redi Website, Redi may remove any material and/or information, included but not limited to links to Third Party Sites, at any time without giving any explanation or justification for removing any material and/or information from the Redi Website.
12. Intellectual Property
The content of the Redi Website is owned by Redi who reserves all rights including, but not limited to, copyright under the Copyright Act, 1968 (Cth) of all material contained on the Redi Website.
You may not use the Redi Website, or the material contained on it for any purpose including, but not limited to:
(a)Reproduction of the material in any material form;
(b)Distribution of the material in any material form;
(c)Re-transmission of the material by any medium of communication; and
(d)Uploading and/or reposting the material to any other website on the World Wide Web.
without the prior written consent of Redi.
13. Jurisdiction
This Agreement will be governed by and interpreted in accordance with the law of New South Wales, without giving effect to any principals of conflict of laws.
You agree to the jurisdiction of the courts of New South Wales to determine any dispute arising out of this Agreement.
14.Termination
This Agreement will remain in full force and effect while you are a Registered Member of Redi.
You may terminate your membership with Redi at any time, effective upon receipt by us of your written notice of termination.
You may terminate your membership of Redi online by logging in to the Redi Website, clicking “edit my personal information” and clicking “Suspend Account”.
Notwithstanding any other provision of these terms and conditions, Redi may, in their sole discretion, temporarily suspend, indefinitely suspend, or terminate your membership of Redi (and terminate this Agreement) if it considers that this action is appropriate having regard to your breach of this Agreement, the interests of other Registered Members and/or the service provided by Redi.
Redi shall have no liability whatsoever for any costs, losses or damages of any kind, which you may incur, arising as a consequence either directly or indirectly of temporarily suspending, indefinitely suspending or terminating your membership of the Redi Website (and termination of this Agreement).
